This Terms of Service Agreement (“Agreement”) is entered into between Douglas SEO Solutions (“Company”) and the client (“Client”) upon the Client’s acceptance of services provided by the Company. This Agreement outlines the terms under which the Company will provide search engine optimization (SEO) services to the Client.

 

1. Services Provided

 

The services offered by Douglas SEO Solutions will be tailored to the needs of the Client based on a recommendation by the Company. These may include, but are not limited to, keyword research, on-page and off-page SEO, technical SEO, SEO audits, content optimization, and other local SEO services. The specific service package will be agreed upon between the parties prior to the commencement of the service term.

 

2. Term of Service

 

The Client may choose from the following service terms:

 

  • 3 month

  • 6 month

  • 12 month

 

Once the original term has expired, the Client may continue services on a month-to-month basis at the same rate initially agreed upon, provided the Client does not terminate the service.

 

3. Payment Terms

 

All payments will be processed via Shopify Payments, utilizing the PayWhirl customer portal for managing recurring charges and subscriptions. Clients are responsible for keeping their payment details up to date within the customer portal.

 

• Recurring Payments: Payments will be drafted automatically according to the agreed-upon schedule for the chosen service term (monthly or upfront).

 

• Upfront Payments: Clients who pay in full upfront will receive additional service free of charge:

• For a 3-month term, 1 additional month of service.

• For a 6-month term, 1 additional month of service.

• For a 12-month term, 1 additional month of service.

 

4. Cancellation Policy

 

Refunds are not permitted under this Agreement.

 

• Cancellations: Clients may cancel services with a written notice submitted at least 30 days prior to the final payment draft day. Cancellations must be submitted in writing via email or letter and must include a valid reason for cancellation, such as bankruptcy, dissolution of the business, or a financial loss that impacts the Client’s ability to continue service.

 

5. Dispute Resolution

 

In the event of a dispute between the parties regarding the services or this Agreement, the matter will be resolved through arbitration. Both parties agree to waive the right to pursue litigation in court, except in the event that arbitration is unsuccessful or otherwise unavailable.

 

6. Client Obligations

 

The Client agrees to provide the Company with access to necessary website credentials, analytics data, and any other materials required for the successful completion of the services outlined in the agreed-upon service package. Failure to provide these materials may affect the Company’s ability to perform services and does not entitle the Client to any refunds.

 

7. Non-Binding Agreement

 

This Agreement is not a binding contract but a legal understanding between Douglas SEO Solutions and the Client regarding the services to be provided and the associated payment terms. Either party may terminate the Agreement under the conditions outlined herein.

 

8. Modifications

 

Douglas SEO Solutions reserves the right to modify the terms of this Agreement, with notice given to the Client. Any modifications will take effect immediately upon communication to the Client.

 

9. Governing Law

 

This Agreement is governed by the laws of the State of Oklahoma. Any arbitration or legal proceedings arising from this Agreement will be conducted within the jurisdiction of Oklahoma.

 

Acceptance of Terms

By engaging Douglas SEO Solutions for services, the Client agrees to the terms outlined in this Agreement.
